Terms and Conditions
General Provisions
Our terms and conditions below apply to all transactions, unless other agreements have been confirmed by us in writing. Special provisions in individual conditions do not affect the remaining ones.
Offers
Our offers are always non-binding. Telephone or verbal additions, amendments, or collateral agreements require our written confirmation to be effective. Deviating conditions of the customer that we do not expressly acknowledge in writing are not binding for us, even if we do not expressly object to them.
Prices
Unless otherwise agreed, our prices are free delivery for net orders from €1,000, including packaging. For deliveries up to a net value of €1,000, we charge a processing/freight cost share of €75.
Payment Terms
Unless otherwise agreed, the purchase price is due for payment within 10 days with a 2% discount or within 30 days net cash without deduction. In case of delayed payment, we charge 14% default interest; collection fees shall be borne by the debtor. Bills of exchange and checks are accepted only as conditional payment. The costs of discounting and collecting bills of exchange and checks shall be borne by the customer. Withholding payment due to claims for conversion, reduction, or other counterclaims by the customer, as well as offsetting with such claims, is excluded.
Delivery Time
The delivery dates stated by us are non-binding, unless otherwise agreed. In case of scheduling difficulties within an order, we reserve the right to make partial deliveries. Default charges and claims for damages due to delivery delays cannot be asserted against us under any circumstances. Unforeseen events release us from the bindingly agreed delivery periods; no claim for compensation exists even in these cases.
Force Majeure:
Strikes and lockouts, disasters, operational disruptions, material shortages, or traffic problems release us from all obligations.
Complaints/Warranty
Complaints can only be considered if they are reported to us in writing within 14 days of receipt of the shipment. For defects, we are obliged, at our discretion, upon return of the complained goods, to provide a free replacement delivery or reimbursement of the invoice value for the complained part. A free replacement will not be provided if an examination at our factory shows that the products were handled improperly, subjected to other manipulations, or if natural wear and tear is present.
Withdrawal from Purchase Agreement
We are entitled to immediate withdrawal
a) if, after conclusion of the contract, we receive unfavorable news regarding the buyer’s reputation and insolvency
b) if, after conclusion of the contract, the buyer’s commercial enterprise is transferred to another owner
c) if the buyer defaults on payment for previous deliveries, especially if a bill of exchange is protested or a check is dishonored
Retention of Title
The delivered goods remain our property until full payment of the purchase price and until payment of all past and future goods deliveries within the business relationship, including all ancillary claims (in case of payment by checks or bills of exchange, until their clearance). Should the delivered goods be sold unprocessed or processed before payment, the resulting purchase price claim is assigned to us in advance. If our property is impaired by third parties through seizure or otherwise, the buyer is obliged to notify us immediately.
Place of Performance and Jurisdiction
The place of performance and jurisdiction for all obligations of both parties, including check and bill of exchange liabilities, is Innsbruck.
Your Rights
You generally have the rights to information, rectification, erasure, restriction of processing, data portability, withdrawal of consent, and objection. If you believe that the processing of your data violates data protection law or that your data protection rights have otherwise been infringed, you can lodge a complaint with the supervisory authority. In Austria, this is the Data Protection Authority.
